1. Agreement to Terms

By accessing or using the TicketCosmo website (ticketcosmo.com), mobile application, and all related services, features, APIs, tools, and functionality that we may offer now or in the future (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including ticket buyers, event organizers, scanner users, administrators, and any other person who accesses or uses the Service.

By using the Service, you consent to receive electronic communications from us, including emails, push notifications, SMS messages (where enabled), and in-app notices. These communications are necessary for the operation of the Service and may include confirmations, alerts, updates, and administrative notices. You may not opt out of transactional messages while using the Service.

TicketCosmo is a ticketing platform that allows Event Organizers to create events, sell tickets, and manage attendance. TicketCosmo provides the technology infrastructure — it is not the organizer of any event listed on the platform.

TicketCosmo is a technology platform only. We are not a party to the contract between a Ticket Buyer and an Event Organizer. All disputes regarding events, refunds, and event cancellations are between the Ticket Buyer and the Event Organizer.

We reserve the right to modify, add, or remove features, functionality, or services at any time without prior notice. We may also introduce experimental or beta features from time to time. Your use of such features is voluntary and at your own risk. Unless you have a separate written agreement with us, we do not guarantee any specific uptime, availability, or performance of the Service.

4. Account Registration (Event Organizers and Scanners)

You agree to provide accurate, current, and complete information during registration and to keep your profile information up to date. We reserve the right to suspend or terminate accounts with inaccurate information.

5. Ticket Buyers

5.1 No Account Required

Ticket Buyers do not need to create an account. Purchases are made by providing a name and verified email address. Ticket Buyers are responsible for ensuring their email address is entered correctly — TicketCosmo cannot be held responsible for tickets sent to an incorrectly entered email address.

5.2 Email Verification

Before completing a purchase, Ticket Buyers must verify their email address by entering a one-time code sent to their email. This is to ensure ticket delivery and prevent misuse.

If a Ticket Buyer loses access to their ticket link, they may:

Each ticket is protected by a cryptographically signed unique URL. Ticket Buyers should treat their ticket link as confidential. TicketCosmo is not responsible for unauthorized use of a ticket link that has been shared, forwarded, or otherwise disclosed by the Ticket Buyer.

5.5 Ticket Transfers and Resale

Tickets are transferable unless the Event Organizer has designated them as non-transferable. If you transfer a ticket, you are responsible for ensuring the recipient receives the ticket link. TicketCosmo is not responsible for transfers made outside the Service. You may not resell tickets for profit (scalping) in violation of applicable law.

6. Event Organizer Terms

6.1 Organizer Responsibilities

As an Event Organizer, you agree to:

Event Organizers must connect a Stripe account to accept paid ticket sales. By connecting your Stripe account, you agree to:

TicketCosmo does not handle event revenue. All payments go directly to the Event Organizer's connected Stripe account. TicketCosmo is not responsible for payment disputes, chargebacks, or Stripe account issues. Event Organizers are solely responsible for all chargebacks, disputes, and refunds.

6.3 Refunds

Refund policies are set by the Event Organizer. TicketCosmo does not control or enforce refund policies. Ticket Buyers seeking refunds must contact the Event Organizer directly. If an Event Organizer issues a refund through Stripe, TicketCosmo will update the ticket status accordingly.

6.4 Event Cancellation

If an event is cancelled, the Event Organizer is solely responsible for notifying Ticket Buyers and issuing refunds where applicable. TicketCosmo will not be held liable for losses arising from event cancellations.

6.5 Prohibited Events

You may not use the Service to sell tickets to events that:

6.6 Access Codes

Event Organizers may set a unique access code for their event. Access codes must be unique across all events on the platform. Event Organizers are responsible for distributing access codes appropriately.

6.7 Taxes

Event Organizers are solely responsible for determining, collecting, reporting, and remitting all applicable taxes (including sales tax, VAT, GST, or other transaction taxes) arising from ticket sales. TicketCosmo does not collect or remit taxes on your behalf unless explicitly agreed in writing.

6.8 Event Changes

Event Organizers may modify event details at any time. You agree to notify Ticket Buyers promptly of any material changes, postponements, or cancellations. TicketCosmo is not responsible for losses arising from changes to event details made by Event Organizers.

7. Payments and Fees

7.1 Payment Processing

All payments are processed by Stripe. TicketCosmo does not collect, hold, or transmit payment card information. By making a purchase, you agree to Stripe's Terms of Service at stripe.com/legal.

7.2 Direct Charges

Ticket purchases are charged directly to the Event Organizer's connected Stripe account. TicketCosmo does not take a commission or platform fee on ticket sales unless separately agreed upon in writing.

7.3 Stripe Fees

Stripe's standard payment processing fees apply to all transactions. These fees are the responsibility of the Event Organizer and are deducted by Stripe before funds are transferred.

7.4 Failed Payments

If a payment fails, no ticket will be issued. Seat holds (for assigned seating events) will be released and made available to other buyers.

7.5 Currency

Events may be priced in various currencies as selected by the Event Organizer. Ticket Buyers are responsible for any currency conversion fees charged by their bank or payment provider.

7.6 Pricing Errors

In the event of a pricing error, typo, or technical malfunction that results in an incorrect price being displayed, we reserve the right to cancel the affected transaction and refund any amounts paid. We will notify you promptly if this occurs.

8. Seat Holds (Assigned Seating Events)

9. Premium Subscriptions (Event Organizers)

9.1 Subscription Plans

TicketCosmo offers premium subscription plans for Event Organizers, available on a monthly or annual basis. Premium features may include but are not limited to: assigned seating, advanced analytics, and additional event capacity.

9.2 Billing

Subscriptions are billed through the Apple App Store or Google Play Store. Billing terms, renewal, and cancellation are governed by the applicable store's terms of service:

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. We do not issue refunds for partial subscription periods.

9.4 Changes to Pricing

We reserve the right to change subscription pricing with reasonable notice. Price changes will not apply to your current billing period.

9.5 Free Tier

A free tier is available with limited features. We reserve the right to modify free tier limitations at any time.

9.6 Trial Periods

We may offer free or discounted trial periods for premium features. Trials automatically convert to paid subscriptions at the regular price unless cancelled before the trial ends. Trial eligibility may be limited to new subscribers.

10. Digital Wallet Passes

10.1 Google Wallet and Apple Wallet

Ticket Buyers may save their tickets to Google Wallet or Apple Wallet where supported. Wallet passes are provided as a convenience and supplement the ticket email — the secure ticket URL remains the primary ticket.

10.2 Pass Accuracy

Wallet passes display event information at the time the pass is generated. TicketCosmo is not responsible for passes that display outdated information if an event's details change after the pass was added to a wallet.

10.3 Pass Validity

A wallet pass does not guarantee entry to an event. Entry is at the discretion of the Event Organizer. TicketCosmo is not responsible for entry being denied at an event.

12. Intellectual Property

12.1 Our Property

The Service, including its design, software, text, graphics, logos, and functionality, is owned by TicketCosmo and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

12.2 Your Content

Event Organizers retain ownership of content they submit (event names, descriptions, images). By submitting content, you grant TicketCosmo a non-exclusive, royalty-free, worldwide license to use, display, and reproduce that content solely for the purpose of operating the Service.

You represent and warrant that you own or have the right to use all content you submit, and that your content does not infringe the intellectual property rights of any third party.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TICKETCOSMO SHALL NOT BE LIABLE FOR:

You agree to indemnify, defend, and hold harmless TicketCosmo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

The Service integrates with third-party services including Stripe, Google Firebase, Cloudflare, SMTP2GO, Google Wallet, and Apple Wallet. Your use of these services is subject to their respective terms and privacy policies. TicketCosmo is not responsible for the practices, content, or availability of third-party services.

17. Force Majeure

Neither TicketCosmo nor any Event Organizer will be liable for any failure or delay in performance under these Terms due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, supply shortages, failure of telecommunications or internet services, or governmental action.

TicketCosmo respects intellectual property rights. If you believe content on the Service infringes your copyright, please send a notice to [email protected] containing:

19. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant TicketCosmo a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such feedback without restriction or compensation to you.

20. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may also change features available on free and paid tiers, or introduce new services and functionality.

We may update these Terms at any time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, notifying registered users by email or displaying a prominent notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

21. Termination

21.1 By You

Event Organizers and Scanner users may close their account at any time by contacting [email protected]. Ticket purchase records associated with closed accounts may be retained for legal and financial record-keeping purposes.

21.2 By Us

We may suspend or terminate your account and access to the Service at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion.

21.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 12 (Intellectual Property), 13 (Disclaimer of Warranties), 14 (Limitation of Liability), 15 (Indemnification), 17 (Force Majeure), 18 (DMCA), 22 (Governing Law), 23 (Class Action Waiver), 24 (Assignment), 25 (Waiver), 26 (Headings), 27 (Severability), and 28 (Entire Agreement).

21.4 Data Export

Upon termination of an Event Organizer account, you may request an export of your event data within 30 days. We will provide the data in a commonly used electronic format where technically feasible. After 30 days, we may delete your data in accordance with our data retention practices and legal obligations. While we may perform routine backups, we do not guarantee the availability of backup copies beyond our standard retention periods.

22. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to its conflict of law provisions.

22.1 Informal Resolution

The parties agree to first attempt to resolve any dispute informally through good-faith negotiation.

22.2 Mediation

If informal negotiation fails, the parties agree to submit the dispute to non-binding mediation before commencing litigation.

22.3 Litigation

If mediation fails, disputes shall be submitted to the courts of Manitoba, Canada, and you consent to the personal jurisdiction of those courts.

22.4 EU Consumer Rights

For users in the European Economic Area, United Kingdom, or Switzerland: Nothing in these Terms limits your rights under applicable consumer protection laws, including your right to bring claims before the courts of your country of residence.

23. Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings, whether in court or otherwise, will be conducted only on an individual basis and not in a class, consolidated, or representative action. If a court or arbitrator determines that this waiver is unenforceable, the class action waiver shall be severed and the remaining portions of this section shall remain in effect.

24. Assignment

TicketCosmo may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer these Terms without our prior written consent. Any attempted assignment in violation of this section is void.

25. Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver is only effective if it is in writing and signed by an authorized representative of TicketCosmo.

26. Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

27. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

28. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TicketCosmo regarding the Service and supersede all prior agreements and understandings.

29. No Agency

No agency, partnership, joint venture, or employment relationship is created between you and TicketCosmo by these Terms. Nothing in these Terms authorizes you to bind TicketCosmo to any obligation.

30. Export Compliance

You may not use the Service if you are subject to export controls or located in a country or jurisdiction that is embargoed or prohibited by applicable Canadian, U.S., or international law.
